Green Phoenix Terms & Conditions

These Terms & Conditions govern the use of services provided by Green Phoenix, a brand operated by DSC Designs LLC (“Green Phoenix,” “DSC Designs LLC,” “we,” “our,” or “us”). By purchasing or continuing any of our services, you agree to the terms outlined below.
Subscription Services
Unless otherwise stated in writing, all recurring marketing, website maintenance, hosting, SEO, and other subscription-based services are provided under a 12-month service agreement beginning on the date of the initial payment.
Your monthly payment amount will remain the same throughout the agreement unless:
- You request additional services or upgrades.
- Both Green Phoenix and the client mutually agree in writing to modify the scope of work and associated pricing.
We will never increase your monthly service fee without prior discussion and mutual agreement.
Renewal
At the conclusion of the initial 12-month term, services continue on a renew of the 12-month agreement unless otherwise specified in writing.
Cancellation & Termination
We understand that business needs change and strive to make cancellations as straightforward as possible.
If you choose to end services before the completion of your agreement, we require 90 days written notice.
The 90-day notice period allows us to properly conclude active projects, transition services when necessary, and ensure an orderly handoff.
There are no additional cancellation penalties beyond the required payment for services provided during the 90-day notice period.
Green Phoenix reserves the right to terminate services for non-payment, abuse, illegal activity, or violations of these terms.
Payment Terms
Invoices are due according to the payment schedule outlined in your agreement.
Accepted payment methods may include ACH, credit/debit card, check, or other approved payment methods.
Failure to make timely payments may result in delayed work, suspension of services, or termination of the agreement.
Late Payments
We genuinely value our client relationships and understand that occasional delays happen.
If a payment becomes overdue, we will make reasonable efforts to notify you and provide an opportunity to bring your account current.
Balances that remain unpaid after 30 days are subject to a 10% late fee on the outstanding balance.
For accounts that continue beyond 30 days, additional late fees may be assessed every 30 days based on the then-current outstanding balance, including any previously accrued late fees.
Our goal is always to spend our time helping your business grow, not chasing unpaid invoices, and we appreciate prompt communication regarding any payment concerns.
Scope Changes
Any request that falls outside the original agreed-upon scope of work may require:
- A revised estimate
- Additional billing
- A separate project agreement
No additional work will be billed without client approval.
Intellectual Property
Unless otherwise agreed in writing:
- Green Phoenix retains ownership of all internal processes, proprietary tools, templates, source files, and development methodologies.
- Upon full payment, clients receive ownership of the final deliverables specifically created for their business, excluding licensed third-party assets, software, fonts, plugins, stock photography, or other materials governed by separate licensing agreements.
Third-Party Services
Many projects rely on third-party platforms and providers, including but not limited to:
- WordPress
- Meta (Facebook & Instagram)
- Hosting providers
- Domain registrars
- Email providers
- Advertising platforms
Green Phoenix is not responsible for outages, policy changes, security incidents, pricing changes, account suspensions, or other actions taken by third-party providers.
Results Disclaimer
Marketing outcomes vary from business to business.
While we utilize industry best practices and proven strategies, Green Phoenix cannot guarantee:
- Search engine rankings
- Sales
- Lead volume
- Website traffic
- Advertising performance
- Social media growth
Results depend on numerous factors outside of our control, including market conditions, competition, budgets, customer demand, and client participation.
Website Hosting & Maintenance
For clients utilizing Green Phoenix hosting or maintenance services:
- Routine maintenance and security updates are performed on a best-effort basis.
- While we implement industry-standard security practices, no website can be guaranteed to be completely immune from security threats.
- Clients are responsible for maintaining current contact information and providing timely responses when approvals or access are required.
Privacy
Any information shared with Green Phoenix is used solely for providing contracted services, communicating with clients, processing payments, and improving our services.
We do not sell or share personal information with third parties except where necessary to provide contracted services or when required by law.
Limitation of Liability
To the fullest extent permitted by law, Green Phoenix shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of our services.
Our total liability shall not exceed the total amount paid by the client for the specific services giving rise to the claim.
Governing Law
These Terms & Conditions shall be governed by and interpreted under the laws of the State of New York.
Changes to These Terms
Green Phoenix may update these Terms & Conditions from time to time. The most current version will always be available on our website.
Continued use of our services following any updates constitutes acceptance of the revised Terms.
